TL;DR
Instacart is shopping itself, and DoorDash is still at the table after Uber walked away. If you’re one of the 380-plus grocers running your website, ad network, or smart carts on Instacart code, a buyer would own the software behind your business. Start with your contract and a full data export this week, and leave the platform alone until after the holidays.
The Information hit publish at 3:56 p.m. Eastern on Friday, four minutes before the closing bell. Instacart had hired a bank to find a buyer. If you’re one of the 380-plus grocers running your website on Instacart code, your vendor just went up for sale.
Bloomberg reported that evening that Uber had already walked away. DoorDash is still talking, though nobody has signed anything.1
The gap behind the sale
Instacart’s orders grew 9% to 90.3 million in Q2.2 Over the summer, U.S. online grocery grew 20.7% and reached a record 20.9% of total grocery spending, according to Brick Meets Click.3 Instacart helped build that market, and it’s now growing at less than half its pace.
In 2021, DoorDash talked about paying $40 billion to $50 billion for Instacart, and the talks died partly over antitrust worries.4 Going into Friday, the market valued Instacart at about $12 billion.5
In Brittain Ladd’s great postmortem this weekend, he argues that Instacart’s refusal to own inventory, a rule its executives called the red line, kept it from building the automated fulfillment grocers need now.6 I agree with most of it, though he spends little time on the people with the most to lose.
One vendor, every layer
Storefront Pro runs grocers’ own websites and apps on Instacart’s technology, and more than 380 grocers use it.7 Aldi dropped its in-house build and moved its U.S. site to Storefront Pro.8 If you order from Aldi’s app, you see Aldi’s logo and have no reason to suspect Instacart sits underneath.
I understand why grocers signed. Instacart’s chief commercial officer said grocery IT teams are thin and chain operators are operators first, and he’s right. Davis Food & Drug reported 24% higher sales on Storefront Pro and two to three times more monthly retail media revenue from Carrot Ads, which most independents could never build alone.9
Once the storefront went in, the rest followed. Save Mart moved all three banners to Storefront Pro and adopted Carrot Ads, so Save Mart, Lucky, and FoodMaxx could each run a retail media network.10 Hy-Vee wired Carrot Ads into RedMedia to reach demand from more than 7,000 brands.11
Allegiance went further. It supports more than 125 independent supermarkets in the Northeast; every member now runs on Storefront Pro, and Caper Carts are rolling through Foodtown stores.12
Picture one of those Foodtown stores. Its website, catalog, shopper picking the order, sponsored listings, and the screen bolted to the cart all depend on one company’s code.
That concentration became the risk the day the contracts were signed, and Friday’s news made it visible.
I’ve written before that third-party platforms collect substitution patterns, demand signals, and out-of-stock data that grocers pay for and never own. Taking the Instacart logo off the site did nothing to change where that data goes.
Every outcome tests the same weakness
DoorDash is still in the room, so start there. Any buyer would want to keep paying Storefront Pro customers happy, at least for the first year. I’d worry about the slower drift in which features get built and who ends up with the brand ad budgets your shopper data helped attract.
That drift matters because DoorDash competes with grocers. DashMart, launched in 2020, was its first move into managing and delivering its own inventory. Today, it runs more than 100 DashMart locations and sells fulfillment to other chains, including Kroger.
Under a DoorDash deal, the software behind your storefront would belong to a company that stocks its own shelves. It has done behind-the-logo work before, too, running white-label fulfillment for Walmart, Hy-Vee, and Coborn’s through DoorDash Drive in 2020.
A private equity buyer brings a different problem. PE pays for cash flow, and I’d bet the quickest way to raise cash flow at a platform full of captive customers is to increase fees at renewal.
If nobody buys, the concentration stays right where it is. If DoorDash does bid, expect a long antitrust review, and expect your feature requests to sit in a queue until regulators finish.
Grocery Dive asked in 2020 whether Instacart was overshadowing grocers and siphoning off their data.13 Six years later, I’d ask the same thing about every possible owner.
What to do before Thanksgiving
Even a quick deal would take months to close, and this one could fall apart before the holidays. Use the gap. Instacart wants to look good for bidders right now, so it has every reason to answer your questions fast, and you can handle everything below over the phone or email while your site keeps running.
Read your change-of-control clause before Monday’s standup. It’s the part of the contract that covers what happens if Instacart gets acquired. Many enterprise software agreements let the vendor transfer the contract to a buyer without asking you, so check whether yours lets you walk away and whether your pricing survives a new owner.
Pull a full data export and open the file. Ask for customer accounts, order history, substitution logs, the product catalog, and ad campaign results. You won’t know what you own until the export arrives and you see which columns came back empty.
Map each layer separately. Changing delivery partners takes a contract amendment. Replacing the software behind your storefront and your cart screens is a replatform, and it needs its own budget.
Find out who owns your advertisers. If Carrot Ads fills your ad slots with Instacart’s brand demand, those relationships sit on Instacart’s books. Your category managers probably know which CPG reps already call them directly, so start there.
Leave the platform alone until 2027. Thanksgiving is about a month away, and nobody should rip out an e-commerce stack heading into the busiest six weeks of the year.
Bring this news to your next renewal. Instacart wants bidders to see a loyal, sticky customer base. If your renewal is coming up, ask for a shorter term and a data portability clause that costs Instacart something when it fails, and make sure both survive a sale.
Ladd closes by asking whether grocers want to own their online business or rent it. Storefront Pro customers chose to rent, and the landlord just listed the building. Read your lease before the new owner does.
